Terms of Service

Please read these terms carefully. By using Freelanth, you agree to be bound by all of the following terms and conditions.

1. Acceptance of Terms

By accessing or using Freelanth.com, you fully accept these Terms of Service. If you disagree with any provision, you must discontinue use immediately. Freelanth reserves the right to modify these terms at any time, and will notify users via email or platform announcement.

2. Account Registration & KYC

Users must provide accurate, current information when registering. One account per individual only.

Identity Verification (KYC): Before any transaction, users must complete:

  • Email verification
  • Phone number verification via OTP
  • ID card upload with selfie (reviewed within 24 hours)

Freelanth reserves the right to reject or terminate accounts that fail KYC verification at any time.

2c. Corporate Accounts

Users who post jobs or offer services on behalf of a legal entity (company, partnership, or any legally recognised juristic person) must comply with the following conditions.

(a) Dual Identity Disclosure

Corporate accounts must display both (1) the legal entity name and (2) the account holder's full name on their public profile, ensuring full transparency to other platform users.

(b) Dual KYC Requirement

Corporate accounts must pass verification with two document sets simultaneously to receive KYC Approved status:

  • Personal documents: Account holder's ID card copy and selfie holding the card
  • Corporate documents: Company registration certificate or incorporation document issued by the Department of Business Development, dated within 3 months

(c) Account Holder Personal Liability

The account holder operating on behalf of a legal entity remains personally liable for all transactions and actions conducted through that account. Freelanth reserves the right to suspend accounts and notify relevant authorities if corporate accounts are used to evade personal accountability.

(d) Tax Obligations for Corporate Entities

Corporate entities using Freelanth are responsible for withholding tax (WHT) deductions at the legally mandated rates and must issue the relevant withholding tax certificate (50 Bis) to freelancers as required by Thai tax law.

2b. Early Adopter Programme

As a token of appreciation for users migrated from the legacy thaifreelanceagency.com platform, Freelanth grants 30 days of complimentary PRO-tier access under the following conditions:

  • Window commencement: The 30-day window begins exclusively upon successful completion of the Onboarding process — not on the date of data import, account creation, or first login.
  • Eligibility: Users whose accounts carry a legacy WordPress ID (imported from thaifreelanceagency.com) are automatically enrolled upon first completing the platform Onboarding wizard.
  • Entitlements: During the 30-day window, eligible users may post jobs, create services, and submit proposals without the slot restrictions of the FREE plan — equivalent to an active PRO subscription.
  • Expiry: Upon expiry of the 30-day window, the account automatically reverts to FREE-tier restrictions unless the user has subscribed to a PRO or Ultimate plan.
  • Non-transferable: Early Adopter status may not be transferred, sold, or applied to a different account.
  • Programme modification:Freelanth reserves the right to amend or discontinue the Early Adopter Programme with a minimum of 7 days' advance notice via official communication channels.

⚠️ Early Adopter status is activated automatically upon completion of the Onboarding process. The 30-day clock does not begin until Onboarding is fully complete.

3. Payments & Escrow System

All payments are processed through Stripe, a PCI DSS Level 1 certified payment processor.

Escrow System: Funds are securely held after the client pays, and released to the freelancer only upon client approval of the delivered work.

Withholding Tax: Corporate clients must withhold 3% tax and issue a WHT certificate (50 Tawi) to freelancers.

📋 Binding Contract Value

The final contract value is strictly determined by the numerical value listed in the active proposal at the moment of checkout confirmation. Any manual textual agreements made via chat, email, LINE, or any off-system channel are not legally binding until the agreed price is updated in the system proposal fields and confirmed through the Checkout flow.

To protect both parties, the platform verifies at checkout that the price the client is about to pay matches what they reviewed on-screen. If the price was changed in the interim, the system will alert the client and require re-confirmation before proceeding.

🚫 Refund Policy & Non-Refundable Fees

  • Payment processing fees (e.g., Stripe fees of approximately 3.6% + ฿10 per transaction) are strictly non-refundable under any circumstances, as they have already been collected by the payment processor.
  • If a project is cancelled at the client's request (Client Fault — e.g., change of mind or cancellation without cause): the client will receive a refund of the total amount paid minus the Stripe processing fee.
  • If the freelancer is at fault (Freelancer Fault — e.g., failure to deliver or breach of agreement): the platform may, at its sole discretion, issue a full refund to the client. In such cases, the Stripe processing fee absorbed by the platform will be recovered from the freelancer's next successful payout.
  • All refund decisions are exclusively within the authority of platform Administrators. Regular users cannot trigger Stripe refunds directly.

3b. Fees and Payment Terms

By using the Freelanth platform, users acknowledge and agree to the following fee terms prior to conducting any transaction:

(a) Platform Service Commission Rights

Freelanth.com expressly reserves the right to charge a Service Commission on all successfully completed transactions. The current commission rate is ten percent (10%) of the agreed project value. The platform reserves the right to modify this rate with a minimum of 30 days' prior written notice through official platform communication channels.

(b) Third-Party Payment Processor Fees (Stripe)

Users acknowledge that Stripe, the third-party payment processor employed by Freelanth, independently charges its own transaction processing fees that are deducted from the payout amount prior to transfer to the freelancer. The current Stripe rate for domestic Thai cards is approximately 3.6% + ฿10 per transaction. These rates are subject to change at Stripe's sole discretion and are outside Freelanth's control.

(c) No Guarantee of Exact Net Payout

Freelanth does not guarantee the exact net payout amount that a freelancer will receive. The final net amount depends on Stripe's processing rates at the time of transaction, applicable currency exchange factors (for cross-currency transactions), and prevailing tax obligations. Any net payout figures displayed on the platform are estimates for reference only and do not constitute a binding commitment.

(d) Informed Consent at Checkout

Prior to confirming any transaction, users will be presented with a Payment Breakdown on the checkout screen that itemises all applicable fees, including the platform commission, Stripe processing fee, and estimated net payout. By clicking "Confirm and Pay," the user irrevocably acknowledges having reviewed and accepted all stated fees and waives any right to dispute the fee structure after transaction completion.

Illustrative Example: Project value ฿10,000 → Platform commission 10% = ฿1,000 → Stripe processing ≈ ฿370 → Estimated freelancer payout ≈ ฿8,630

4. Off-Platform Payments (Strictly Prohibited)

Direct money transfers between users (PromptPay, bank transfer, Line Pay, etc.) intentionally bypassing Freelanth's Escrow system is a serious violation of these Terms.

Violations will result in:

  • Immediate account suspension without prior notice
  • Forfeiture of all balances and accumulated rewards
  • Loss of Escrow protection and dispute resolution rights
  • Potential legal action in cases of fraud

Freelanth monitors for unusual transaction patterns and may suspend suspected accounts.

5. Project Delivery & Auto-Approval

Freelancers must deliver work within the agreed timeframe by submitting details and a delivery URL through the platform.

Work Approval: Clients have 7 days from the delivery date to approve the work or open a dispute.

Auto-Approval: If the client takes no action within 7 days, the system will automatically approve and release funds to the freelancer. Freelanth will send an email reminder 24 hours prior.

6. Dispute Resolution

If a dispute arises between a client and freelancer, either party may open a Dispute while the order is in FUNDS_HELD status.

Process:

  • Both parties submit evidence and statements within 3 days
  • Freelanth Admin team reviews evidence and decides within 48 hours
  • Freelanth's decision is final: refund to client or release to freelancer

Freelanth is not a party to agreements between users and acts solely as a mediator.

7. Intellectual Property

Upon client approval and fund release, full ownership of all delivered work transfers to the client automatically, unless a separate written agreement specifies otherwise.

Freelancers warrant that all delivered work:

  • Is their original creation
  • Does not infringe any third-party copyright or intellectual property rights
  • Does not use restricted-license assets without proper authorization

Freelanth's logo, brand, and all platform content are the exclusive property of Purrclaw Co., Ltd.

8. Prohibited Activities

  • Sharing contact information (email, phone, Line) to solicit off-platform payments
  • Creating fake or duplicate accounts
  • Posting illegal, obscene, or defamatory content
  • Using bots or automated systems for registration or sending proposals
  • Submitting false bids to manipulate pricing
  • Fraud or identity impersonation
  • Disclosing client information to third parties

9. Limitation of Liability

Freelanth provides services "as is" without guaranteeing continuity or completeness of service.

Freelanth is not liable for:

  • The quality of work delivered by freelancers
  • Business losses resulting from delayed or defective work
  • Indirect, special, or punitive damages

Freelanth's maximum liability to any user is limited to amounts paid through the platform in the prior 3 months.

10. Account Termination

Freelanth reserves the right to suspend or terminate accounts that violate these Terms without prior notice.

Users may delete their accounts at any time via Settings. However:

  • All active transactions must be completed first
  • Data required for legal compliance will be retained as required by law

11. Governing Law

These Terms are governed by Thai law. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of Thai courts. Freelanth complies with Thailand's Personal Data Protection Act (PDPA) B.E. 2562.
